Welcome to Paydigo, Inc. (“Paydigo,” “we,” “our,” or “us”). Paydigo provides, facilitates, or arranges access to payment processing and merchant services, including tools for payment acceptance, invoicing, transaction settlement, reporting, and related merchant account services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and Conditions (the “Terms”).
These Terms apply to Paydigo websites, platforms, applications, merchant onboarding flows, payment tools, support services, and related technology. Additional terms may apply through a merchant processing agreement, application, order form, fee schedule, sponsor bank agreement, payment network rules, or other written agreement. If there is a conflict between these Terms and a signed merchant processing agreement, the signed merchant processing agreement controls for the subject matter it covers.
By using the Services, you confirm that you are at least 18 years old, or the legal age of majority in your jurisdiction, and that you have read, understood, and agreed to these Terms.
If you use the Services on behalf of a business or other organization, you represent and warrant that you are authorized to bind that organization to these Terms and to any applicable merchant processing agreement.
Paydigo is a payment processing and merchant services company. Depending on the products selected and the agreements in place, the Services may include:
Paydigo may provide the Services directly or through sponsor banks, acquiring banks, processors, payment networks, gateway providers, financial institutions, vendors, and other third-party service providers.
To use certain Services, you may be required to submit a merchant application, business information, beneficial ownership information, tax identification information, bank account information, processing history, financial statements, and other documents requested for underwriting, risk, compliance, or regulatory purposes.
You agree that all information you provide is accurate, complete, and current. You must promptly notify Paydigo of material changes to your business, ownership, processing activity, bank account, products or services sold, website, refund policy, fulfillment practices, or risk profile.
Approval to use the Services is not guaranteed. Paydigo and its third-party providers may approve, reject, suspend, restrict, or terminate merchant access based on underwriting, compliance, payment network requirements, risk considerations, or applicable law.
Merchants using payment processing services must enter into, or be bound by, a merchant processing agreement or equivalent processing terms. That agreement may include additional terms governing authorization, settlement, reserves, fees, chargebacks, refunds, compliance, prohibited transactions, data security, and termination.
You agree to comply with all applicable terms of any merchant processing agreement, payment network rules, sponsor bank requirements, NACHA rules for ACH transactions, gateway terms, hardware terms, and other third-party provider requirements that apply to your use of the Services.
Fees, interchange rates, assessments, processing charges, gateway fees, chargeback fees, reserve requirements, equipment fees, monthly fees, and other charges will be disclosed in the applicable merchant processing agreement, fee schedule, invoice, order form, or platform disclosure.
You authorize Paydigo and its service providers to debit, offset, withhold, or collect applicable fees, chargebacks, refunds, reversals, penalties, assessments, and other amounts owed from settlement funds, reserve funds, designated bank accounts, or other amounts payable to you, as permitted by applicable agreement and law.
You are responsible for taxes, duties, or governmental charges related to your products, services, transactions, or use of the Services, except taxes based on Paydigo's income.
Authorization of a transaction does not guarantee payment, settlement, or that a transaction will not be subject to chargeback, reversal, refund, hold, investigation, or adjustment.
Settlement timing may vary based on processing method, payment type, sponsor bank or processor requirements, risk review, holidays, weekends, system availability, reserve requirements, or suspected fraud or compliance issues.
Paydigo and its providers may delay, suspend, hold, offset, or refuse settlement where permitted under applicable agreements, network rules, risk policies, or law.
You are responsible for all chargebacks, refunds, reversals, returns, retrieval requests, fees, fines, penalties, and losses associated with transactions submitted through the Services, except to the extent caused by Paydigo's gross negligence or willful misconduct as determined under applicable law.
You agree to maintain clear refund, cancellation, shipping, delivery, and customer service policies and to provide transaction records, receipts, proof of delivery, customer communications, and other documentation requested for chargeback or dispute response.
Paydigo may assist with dispute management, but it does not guarantee that any chargeback or dispute will be resolved in your favor.
Paydigo and its providers may monitor transaction activity for fraud, security, compliance, excessive chargebacks, unusual activity, or elevated risk. Paydigo may request additional information, impose processing limits, delay settlement, require reserves, or restrict account access when risk concerns arise.
Reserve amounts, reserve duration, and reserve release conditions may be determined under the applicable merchant processing agreement, underwriting decision, sponsor bank requirement, network rule, or risk policy.
You agree to:
You may not use the Services for unlawful, fraudulent, deceptive, abusive, or prohibited activity. Paydigo may decline, restrict, suspend, or terminate processing for businesses, products, services, or transactions that violate applicable law, payment network rules, sponsor bank requirements, Paydigo risk policies, or an applicable merchant processing agreement.
Restricted or prohibited categories may include, without limitation, illegal products or services, counterfeit goods, unauthorized sale of regulated products, deceptive marketing, high-risk or unsupported businesses, transactions involving sanctioned persons or jurisdictions, money laundering, misuse of payment credentials, and activity that creates excessive fraud, chargeback, compliance, or reputational risk.
You are responsible for maintaining the confidentiality of your login credentials, API keys, device access, and account permissions. You are responsible for all activity conducted through your account, whether authorized by you or not, unless prohibited by applicable law.
You must promptly notify Paydigo of suspected unauthorized access, compromised credentials, data security incidents, fraudulent activity, or misuse of the Services.
You must comply with applicable privacy, data protection, and payment data security obligations, including Payment Card Industry Data Security Standard (PCI DSS) requirements where applicable. You may not store, process, transmit, or disclose cardholder data or sensitive authentication data except as permitted by applicable rules and agreements.
Paydigo may collect, use, store, and share information as reasonably necessary to provide the Services, process transactions, prevent fraud, perform underwriting and compliance reviews, comply with legal obligations, and enforce these Terms and related agreements.
The Services may depend on or integrate with third-party processors, banks, payment networks, gateways, software providers, hardware providers, identity verification providers, fraud tools, or other vendors. Paydigo is not responsible for third-party services except to the extent expressly stated in a written agreement.
Your use of third-party services may be subject to separate terms, fees, privacy policies, compliance requirements, and service limitations.
All trademarks, service marks, logos, software, platform content, documentation, workflows, designs, and other materials related to Paydigo and the Services are owned by Paydigo, Inc. or its licensors, unless otherwise stated in a separate written agreement.
You may not copy, modify, distribute, reverse engineer, create derivative works from, or commercially exploit any portion of the Services without prior written consent, except as expressly permitted by these Terms or a written agreement.
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Paydigo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, uninterrupted service, and error-free operation.
Paydigo does not guarantee that transactions will be authorized, settled, funded, or free from fraud, chargebacks, reversals, holds, errors, outages, or network disruptions.
To the maximum extent permitted by law, Paydigo, Inc., its affiliates, officers, directors, employees, agents, service providers, sponsor banks, and processors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, business opportunities, settlement funds, or payment processing capability.
Paydigo is not liable for losses resulting from fraud, unauthorized transactions, chargebacks, refunds, reversals, network rules, sponsor bank actions, processor actions, third-party service failures, merchant compliance violations, or customer disputes, except to the extent liability cannot be limited under applicable law.
You agree to indemnify, defend, and hold harmless Paydigo, Inc., its affiliates, officers, directors, employees, agents, sponsor banks, processors, and service providers from and against claims, damages, losses, liabilities, fees, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Services, your transactions, your products or services, your customers, your violation of these Terms or any merchant processing agreement, your violation of law or payment network rules, or your fraud, negligence, or willful misconduct.
Paydigo may suspend, restrict, or terminate access to the Services at any time if you violate these Terms, breach a merchant processing agreement, create unacceptable risk, provide inaccurate information, engage in prohibited activity, generate excessive chargebacks or fraud, become subject to sanctions or legal restrictions, or if required by a sponsor bank, processor, payment network, regulator, court order, or applicable law.
Termination does not relieve you of responsibility for fees, chargebacks, refunds, reserves, penalties, indemnification obligations, or other amounts or obligations that accrued before or after termination in connection with transactions submitted through the Services.
Paydigo may update these Terms from time to time. Updates will be posted on Paydigo's website or otherwise made available with a revised “Last Updated” date. Continued use of the Services after updates become effective indicates acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Unless otherwise required by an applicable merchant processing agreement or law, disputes will be resolved in the state or federal courts located in Los Angeles County, California.
